Just a minor correction. That should be /boot/grub/menu.lst

I don't think grub is causing his problem. When he boots, his kernel
doesn't find init. This means grub is working and loads the kernel OK.
I suggest using the rescue diskette and finding where init is. Chances
are, it got botched in the upgrade and you may have to install again.

I've never had a problem just doing an upgrade install on a Red Hat
system. I've had some issues with other distros and operating systems,
mostly because of device files that didn't get updated.
